1. Acceptance of Terms
These Terms of Service ("Terms") form a binding agreement between you ("you", "user") and Ai.Rax ("we", "us", "our"). By creating an account, accessing the website, or using any of the Services, you confirm that you have read, understood, and agreed to be bound by these Terms, our Privacy Policy, and any additional policies referenced herein. If you do not agree, do not use the Services.
2. Description of the Services
Ai.Rax provides cloud-based tools for analyzing whether content was likely generated or assisted by artificial-intelligence systems, transforming AI-generated text into more human-sounding output, and related monitoring features (the "Services").
The Services are provided on a software-as-a-service basis. We may add, modify, or remove features at any time. Where changes materially reduce the functionality of a paid plan, we will give you advance notice and a pro-rated refund of any unused fees.
3. Eligibility and Accounts
- You must be at least 16 years old (or the age of digital consent in your country) and capable of forming a legally binding contract.
- If you use the Services on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.
- You are responsible for maintaining the confidentiality of your credentials and for all activity under your account.
- You must notify us immediately of any unauthorized access or suspected security breach.
We may refuse, suspend, or terminate accounts at our reasonable discretion, including if we believe an account is being used to violate these Terms or applicable law.
4. Licence and Restrictions
Subject to your compliance with these Terms, we grant you a limited, revocable, non-exclusive, non-transferable, non-sublicensable licence to access and use the Services for your internal business or personal use.
You agree not to:
- Copy, modify, reverse-engineer, decompile, or create derivative works of the Services, except where this restriction is prohibited by law.
- Use the Services to develop a competing product or to benchmark them for that purpose.
- Resell, sublicense, or otherwise commercially exploit the Services beyond what is expressly permitted by your plan.
- Use automated means (scrapers, bots, headless browsers) to access the Services other than via our published APIs and within their documented limits.
- Probe, scan, or test the vulnerability of any system or network, or breach any security or authentication measures.
- Interfere with the proper working of the Services or impose an unreasonable load on our infrastructure.
5. Your Content
You retain all intellectual-property rights in the content you submit to the Services ("User Content"). You grant Ai.Rax a worldwide, royalty-free, non-exclusive licence to host, process, transmit, and display User Content solely to provide and improve the Services for you.
You represent and warrant that:
- You own or have the necessary rights to submit the User Content and grant the licence above.
- The User Content does not infringe any third-party rights and does not violate any applicable law.
- You will not submit User Content that contains personal data of others without a lawful basis.
6. AI Output, Accuracy, and Acceptable Use
The detection scores, classifications, and humanized text produced by the Services ("Output") are generated by probabilistic models and are inherently imperfect. Output may contain false positives, false negatives, or errors and should be reviewed by a qualified human before being acted upon.
You must not use the Services or Output:
- As the sole basis for decisions that produce legal or similarly significant effects on a person (employment, admissions, credit, immigration, etc.).
- To harass, defame, or publicly accuse any individual of producing AI-generated content without independent verification.
- To facilitate academic dishonesty, plagiarism, or violations of an institution's policies.
- To generate or disseminate disinformation, malware, or content that sexualises minors.
- For any unlawful purpose under the laws applicable to you.
You are solely responsible for how you use the Output and for any consequences arising from such use.
7. Subscriptions, Fees, and Refunds
- Paid plans are billed in advance on the cycle (monthly or annual) you select at checkout.
- Subscriptions renew automatically unless cancelled before the end of the current cycle.
- Fees are exclusive of taxes. You are responsible for any applicable VAT, GST, sales, or withholding tax.
- We may change pricing for future renewal periods with at least 30 days' written notice (e.g. by email).
- Consumers in the European Union have a 14-day right of withdrawal from the date of purchase, unless they expressly request immediate provision of digital content and acknowledge that this waives the withdrawal right.
- Beyond statutory rights, fees for partially used periods are non-refundable except where required by law or expressly stated.
Failure to pay may result in suspension or termination of your access to paid features.
8. Our Intellectual Property
The Services, including all software, models, text, graphics, logos, and trademarks, are owned by Ai.Rax or our licensors and are protected by intellectual-property laws. Except for the limited licence in Section 4, no rights are granted to you. Feedback you provide may be used by us without obligation or compensation.
9. Third-Party Services
The Services may integrate with or link to third-party products (e.g. single sign-on, payment processors, integrations). We are not responsible for third-party services and your use of them is governed by their own terms.
10. Termination
You may terminate your account at any time from your account settings. We may suspend or terminate your access immediately and without prior notice if you materially breach these Terms, if required by law, or if continued provision of the Services to you becomes commercially impracticable.
On termination, your right to use the Services ends. Sections that by their nature should survive (including Sections 5, 6, 8, 11, 12, 13, and 14) will survive termination.
11. Disclaimers
To the maximum extent permitted by law:
The Services and all Output are provided "as is" and "as available", without warranties of any kind, whether express, implied, or statutory, including any implied warranties of merchantability, fitness for a particular purpose, accuracy, title, or non-infringement. We do not warrant that the Services will be uninterrupted, error-free, or that Output will be accurate or reliable.
Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law (for example, in the EU, consumer-protection rights and liability for death, personal injury, or fraud).
12. Limitation of Liability
To the maximum extent permitted by law, in no event will Ai.Rax, our affiliates, officers, employees, or agents be liable for any indirect, incidental, special, consequential, punitive, or exemplary damages, or for any loss of profits, revenue, data, goodwill, or business opportunity, arising out of or in connection with your use of the Services, even if advised of the possibility of such damages.
Our total aggregate liability arising out of or relating to these Terms or the Services will not exceed the greater of (a) the fees you paid to us in the 12 months preceding the event giving rise to the claim, and (b) US $100.
13. Indemnification
You will indemnify, defend, and hold harmless Ai.Rax and our affiliates from any claims, damages, liabilities, costs, and expenses (including reasonable legal fees) arising out of or related to your User Content, your use of the Services in breach of these Terms, or your violation of any law or third-party right.
14. Governing Law and Dispute Resolution
These Terms are governed by the laws of the jurisdiction in which Ai.Rax is established, without regard to its conflict-of-laws principles. Any dispute will be resolved exclusively in the competent courts of that jurisdiction, unless mandatory consumer law in your country of residence provides otherwise.
For users in the EU, the European Commission's Online Dispute Resolution platform is available at ec.europa.eu/consumers/odr. We are, however, not obliged to participate in alternative dispute resolution.
15. Changes to These Terms
We may modify these Terms from time to time. The updated version will be posted with a new "Last updated" date, and where the changes are material we will provide reasonable advance notice. Your continued use of the Services after the effective date constitutes acceptance of the revised Terms.
16. Miscellaneous
- Entire agreement. These Terms, the Privacy Policy, and any order form constitute the entire agreement between you and us.
- Assignment. You may not assign these Terms without our prior written consent. We may assign them in connection with a merger, acquisition, or sale of assets.
- Severability. If any provision is held unenforceable, the remaining provisions will remain in full force.
- No waiver. Our failure to enforce a right or provision is not a waiver of that right or provision.
- Force majeure. We are not liable for failures caused by events beyond our reasonable control.
